Distance Sales Agreement

Pre-Information Form (Law No. 6502 on Consumer Protection)

Article 1 — Parties

The person/organization placing the order and approving this agreement. Buyer information is collected during the order.

Article 2 — Subject

The subject of this agreement is to determine the rights and obligations of the parties, in accordance with Law No. 6502 on Consumer Protection and the Distance Contracts Regulation, regarding the sale and delivery of the UR-GE ERP software services ordered electronically by the BUYER from the SELLER's website.

Article 3 — Product / Service Subject to the Agreement

  • Service Name: UR-GE ERP Furniture Production Software
  • Service Type: Cloud-based ERP software service (SaaS)
  • License Type: User-based or company-based licensing
  • Payment Method: Credit card, bank transfer/EFT

Service details, price and payment terms are specified during the order stage.

Article 4 — General Provisions

4.1 The BUYER accepts that they are informed about the essential qualities, sales price, payment method and delivery terms of the service subject to the agreement, and confirms this information electronically.

4.2 By approving this agreement electronically, the BUYER confirms that they have accurately and completely obtained the address, essential features, price including taxes, and payment and delivery information that must be provided before the conclusion of distance contracts.

Article 5 — Obligations of the Seller

  • To deliver the service completely and in accordance with the qualities specified in the order.
  • To activate the software service within 24 hours at the latest after payment is approved.
  • To provide technical support services during working hours.
  • To carry out software updates regularly.

Article 6 — Obligations of the Buyer

  • To accept that the information declared during the order is accurate.
  • To pay the service fee on time.
  • To use the software in accordance with the license terms.
  • To be responsible for the security of account information.

Article 7 — Right of Withdrawal

7.1 The BUYER has the right to withdraw from the agreement within 14 (fourteen) days from the delivery of the service, without giving any reason and without paying any penalty.

7.2 However, pursuant to Article 15 of Law No. 6502 and Article 15 of the Distance Contracts Regulation, the right of withdrawal cannot be exercised for services performed instantly in electronic media and for intangible goods delivered instantly.

Important: For digital content and software services, the right of withdrawal cannot be exercised once the provision of the service (license activation) has begun. The BUYER declares acceptance of this.

Article 8 — Payment and Delivery

8.1 Payment can be made by credit card or bank transfer/EFT.

8.2 For payments made by credit card, card information is processed via the secure payment infrastructure (iyzico) and is not stored by the SELLER.

8.3 Service delivery is carried out digitally after payment is approved.

Article 9 — Warranty and Support

  • The software service is covered by technical support throughout the subscription period.
  • Software errors are fixed free of charge.
  • New features and updates are provided within the subscription.

Article 10 — Competent Court

In disputes arising from this agreement, Consumer Arbitration Committees are competent up to the value announced by the Ministry of Customs and Trade, and Consumer Courts for disputes above this value. The Consumer Arbitration Committees and Consumer Courts at the SELLER's place of residence are also competent.

Article 11 — Entry into Force

The BUYER declares and undertakes that they have read, understood and accepted all articles of this agreement, and that the agreement enters into force on the order date.
